By accessing our website, engaging our services, or entering into a contract with Emozin Corporate Services (M) Sdn. Bhd., you agree to be legally bound by these Terms of Service. These terms apply to all clients, visitors, partners, and third parties who interact with our platforms or services.

These terms constitute the entire agreement between you and Emozin Corporate Services (M) Sdn. Bhd. and supersede any prior agreements, representations, or understandings, whether written or oral, relating to the subject matter herein.

Emozin reserves the right to modify, suspend, or terminate services at any time without prior notice in cases of breach of these terms, non-payment, or conduct detrimental to the company or its partners.

• All information provided to us must be accurate, complete, and up to date.
• You agree not to use our services for unlawful, fraudulent, or harmful purposes.
• Unauthorised reproduction, resale, or redistribution of our deliverables without written consent is strictly prohibited.
• Emozin reserves the right to decline any project or terminate engagement without liability if terms are violated.

Any services not explicitly listed in a project agreement are considered out of scope and may be subject to additional charges. Changes to scope must be agreed upon in writing by both parties.

Privacy Policy

Emozin Corporate Services (M) Sdn. Bhd. is committed to protecting your personal data in accordance with the Personal Data Protection Act 2010 (PDPA) of Malaysia and applicable data protection laws in India and Singapore.

Data Retention: We retain your data only for as long as necessary to fulfil the purposes outlined above, or as required by applicable law. Upon project completion and settlement, data may be retained for up to 7 years for legal and accounting purposes.

Third-Party Sharing: We do not sell your personal data. We may share data with trusted third-party service providers (e.g., payment processors, cloud hosting providers) strictly for operational purposes and under data processing agreements.

Intellectual Property Rights

All intellectual property created, developed, or produced by Emozin Corporate Services (M) Sdn. Bhd. during the course of an engagement — including but not limited to designs, source code, graphics, documentation, strategies, and reports — shall remain the exclusive property of Emozin until full and final payment is received by the client.

Upon receipt of full payment as agreed in the service contract, ownership of the final deliverables (excluding proprietary frameworks, tools, and third-party components licensed to Emozin) shall transfer to the client.

• Emozin retains the right to display completed work in its portfolio unless the client explicitly requests otherwise in writing.
• Proprietary tools, templates, methodologies, and frameworks developed by Emozin remain the sole intellectual property of the company.
• Open-source components used in deliverables are subject to their respective licences, which will be disclosed to the client.
• Unauthorised copying, reverse engineering, or redistribution of Emozin's proprietary systems is strictly prohibited and may result in legal action.

The Emozin name, logo, taglines, and brand identity are registered trademarks. No use of these marks is permitted without prior written authorisation from Emozin Corporate Services (M) Sdn. Bhd.

Payment & Refund Policy

All payment terms, milestones, and schedules are defined in the individual service agreement or proposal accepted by the client. The following general conditions apply:

• An advance payment (as agreed, typically 30–50% of the total project value) is required before commencement of any project.
• Subsequent payments are due at milestones as defined in the project agreement. Delayed payment may result in project suspension.
• All invoices are due within 14 calendar days of issuance unless otherwise agreed in writing.
• Payments are accepted via bank transfer, online payment gateways, or other methods specified in the agreement.
• Late payments may attract a penalty of 1.5% per month on the outstanding balance.

Currency and applicable taxes (GST/SST/VAT as per jurisdiction) will be specified in the invoice. Clients are responsible for any bank transfer fees or currency conversion charges applicable in their jurisdiction.

Limitation of Liability

To the maximum extent permitted by applicable law, Emozin Corporate Services (M) Sdn. Bhd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of, or inability to use, our services — including but not limited to loss of profits, data loss, business interruption, or reputational damage.

Our total aggregate liability in connection with any claim arising from or related to a service engagement shall not exceed the total fees paid by the client for the specific service giving rise to the claim in the twelve (12) months preceding the claim.

• Emozin is not liable for delays caused by client-side factors, including late feedback, content provision, or approvals.
• We are not responsible for third-party service disruptions (e.g., hosting providers, payment gateways, social media platforms).
• Results from SEO, digital marketing, and AI services cannot be guaranteed due to the dynamic nature of these industries.
• Emozin is not liable for any security breach resulting from client negligence or third-party systems outside our control.

Confidentiality

Both parties agree to maintain strict confidentiality with respect to all proprietary, sensitive, and commercially valuable information exchanged during the course of the engagement. This obligation survives the termination of the service agreement.

Confidential information includes: business strategies, technical specifications, source code, financial data, client databases, trade secrets, and any information marked as confidential by either party.

• Neither party shall disclose confidential information to any third party without prior written consent.
• Confidential information shall be used solely for the purpose of fulfilling obligations under the service agreement.
• Emozin may be required to disclose information if compelled by law or court order, in which case we will notify the client where legally permissible.
• A formal Non-Disclosure Agreement (NDA) may be signed separately upon client request.

Disclaimer

Our website and services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Emozin Corporate Services (M) Sdn. Bhd. does not warrant that:

• The website or services will be uninterrupted, error-free, or completely secure at all times.
• Results or outcomes of services (particularly SEO, marketing, AI, or analytics) will meet specific targets or expectations.
• Information on the website is always current, accurate, or complete.
• Third-party tools or integrations will perform without interruption or meet client-specific requirements.

Emozin makes commercially reasonable efforts to maintain service quality and security. However, we strongly recommend that clients maintain their own data backups and security measures independently.
